By accessing or using our website at allseasontrading.com, you agree to be bound by these Terms of Service. Please read them carefully before placing any order or using our services.

INTERPRETATION

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

DEFINITIONS

For the purposes of these Terms of Service:

  • Device means any device that can access the Service such as a computer, cellphone, or tablet.
  • Goods refer to the items offered for sale on the Service.
  • Orders mean a request by You to purchase Goods from Us.
  • Service refers to the Website.
  • Terms means these Terms of Service which form the entire agreement between You and the Company.
  • Website refers to All Season Trading Ltd., accessible from allseasontrading.com.
  • You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service.

PLACING ORDERS

By placing an Order with us, you confirm that you are legally capable of entering into binding contracts and that the information you provide is accurate and complete.

When you place an Order, you will receive an email acknowledging receipt of your Order. This acknowledgement does not constitute acceptance of your Order. Acceptance occurs only when we confirm that your Order has been processed and dispatched.

We reserve the right to refuse or cancel any Order at any time for reasons including but not limited to product availability, errors in product or pricing information, or suspected fraudulent transactions.

PRICING & PAYMENT

All prices are listed in Canadian Dollars (CAD) and are subject to change without notice. Because we deal in fresh produce and imported goods, prices may fluctuate based on market conditions. The price applicable to your Order is the price confirmed at the time of checkout.

Payment must be made in full at the time of ordering unless a credit account arrangement has been established in writing with All Season Trading Ltd.

We accept major credit cards, debit cards, and other payment methods as displayed at checkout. All transactions are processed securely.

Sales taxes applicable under Ontario and Canadian law will be applied to your Order where required.

WHOLESALE ACCOUNTS

Wholesale pricing and terms are available to approved business customers including restaurants, grocery stores, juice bars, and food service operators. To apply for a wholesale account, please complete the wholesale inquiry form on our website or contact us directly.

Wholesale account holders agree to maintain minimum order quantities as communicated by their account representative, to provide accurate business information, and to make payments in accordance with agreed terms.

We reserve the right to revoke wholesale account status at any time if terms are not met.

DELIVERY

We deliver across the Greater Toronto Area (GTA), Niagara Region, and Windsor. Delivery timelines are provided as estimates only. While we make every effort to deliver within the stated timeframe, we cannot guarantee delivery times and will not be held liable for delays caused by circumstances beyond our control.

Orders must be placed before 5:00 PM for next-day delivery. Orders placed after this cutoff will be processed on the following business day.

Delivery is available Sunday through Friday. We do not deliver on statutory holidays unless otherwise communicated.

Please call before arriving at our facility for pickup orders.

Risk of loss and title for Goods purchased pass to you upon delivery to the address you provided.

PRODUCT AVAILABILITY

All products are subject to availability. As a fresh produce wholesaler and importer, availability of certain items may vary based on season, weather, and global supply conditions. We will notify you as soon as reasonably possible if a product you ordered becomes unavailable, and will offer a suitable substitute or a full refund.

INTELLECTUAL PROPERTY

All content on this website including but not limited to text, images, logos, graphics, and design is the property of All Season Trading Ltd. and is protected by applicable Canadian copyright and intellectual property laws. You may not reproduce, distribute, or use any content from this website without our prior written consent.

YOUR ACCOUNT

If you create an account on our website, you are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at allseasontrading50@gmail.com if you suspect any unauthorized use of your account.

We reserve the right to terminate accounts, remove content, or cancel orders at our discretion.

LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, All Season Trading Ltd. shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of our Service or the purchase of our Goods.

Our total liability to you for any claim arising out of or relating to these Terms or our Goods shall not exceed the amount paid by you for the specific Order giving rise to the claim.

DISCLAIMER OF WARRANTIES

Our Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, except as required by applicable law. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the Service after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. All other provisions will remain in full force and effect.

ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and Refund & Returns Policy, constitute the entire agreement between you and All Season Trading Ltd. with respect to your use of the Service and supersede all prior agreements and understandings.
